Terms of Service

Clear terms for our MVP development services.

Agreement Overview

These Terms of Service ("Terms") govern your use of 0MVP LLC's MVP development services. By engaging our services or using our website, you agree to be bound by these Terms. Please read them carefully before proceeding with any service agreement.

Service Agreement

  • Fixed-price MVP development services with defined scope and timeline
  • Full source code ownership transfers to client upon final payment
  • Post-launch support included as specified in service packages
  • Changes to project scope require written agreement and may incur additional costs
  • All deliverables subject to acceptance criteria outlined in project proposal

Client Responsibilities

  • Provide timely feedback and approvals during development process
  • Supply necessary content, assets, and information as requested
  • Make payments according to agreed schedule
  • Participate in scheduled calls and review sessions
  • Ensure all provided content does not infringe on third-party rights

Limitations & Warranties

  • Services provided "as is" with no guarantees of specific business outcomes
  • We are not liable for third-party service failures or API changes
  • Maximum liability limited to the amount paid for services
  • No warranty for compatibility with future platform updates
  • Client responsible for ongoing hosting, maintenance, and compliance

Payment Terms

Payment Schedule: 50% upfront, 50% upon completion and delivery of final deliverables.

Method: All payments processed securely through Stripe. We accept major credit cards and ACH transfers.

Late Payments: Late payments may result in project suspension and 1.5% monthly interest charges.

Refunds: Refunds governed by our separate Refund Policy. No refunds after project commencement except as specified.

Expenses: Any third-party costs (hosting, APIs, licenses) are client responsibility unless otherwise agreed.

Intellectual Property

Code Ownership: Upon final payment, client receives full ownership of all custom code developed for their project.

Third-Party Components: Open-source and third-party components remain subject to their respective licenses.

Our Tools: 0MVP retains ownership of internal tools, frameworks, and methodologies used in development.

Portfolio Rights: We may showcase completed projects in our portfolio and marketing materials unless client requests confidentiality.

Confidentiality: We maintain strict confidentiality of client information and business details.

Project Scope & Changes

Defined Scope: Each project begins with a detailed scope document outlining deliverables, timeline, and acceptance criteria.

Change Requests: Changes to agreed scope require written approval and may result in timeline extensions and additional costs.

Timeline: Project timelines are estimates based on defined scope. Delays due to client feedback or scope changes may extend delivery.

Acceptance: Client has 5 business days to review deliverables. Silence is considered acceptance.

Revisions: Minor revisions included in package pricing. Major changes subject to additional fees.

Termination

Client Termination: Client may terminate project with 7 days written notice. Payment required for completed work.

0MVP Termination: We may terminate for non-payment, scope creep, or unreasonable client behavior with 7 days notice.

Deliverables: Upon termination, client receives completed work proportional to payments made.

Post-Termination: Confidentiality and intellectual property terms survive termination.

Support & Maintenance

Included Support: Bug fixes for 30 days post-launch at no additional cost.

Extended Support: Ongoing maintenance and feature development available through separate agreements.

Third-Party Issues: Problems with third-party services (APIs, hosting) are client responsibility unless under our management contract.

Response Times: Support requests acknowledged within 24 hours during business days.

Limitation of Liability

Maximum Liability: Our total liability limited to the amount paid for services in the 12 months preceding the claim.

Indirect Damages: We are not liable for indirect, incidental, or consequential damages including lost profits or business interruption.

Business Outcomes: No guarantee of specific business results, user adoption, or revenue generation.

Force Majeure: Not liable for delays due to circumstances beyond our reasonable control.

Governing Law

These Terms are governed by the laws of the United States. Any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in class-action lawsuits.

Updates to Terms

We may update these Terms periodically. Material changes will be communicated via email or website notice. Continued use of our services after changes constitutes acceptance of updated Terms. For active projects, changes take effect upon completion of current project or mutual agreement.
